Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Srota platform, operated by Forgenest Services Pvt. Ltd. ("Forgenest", "we", "our"). By creating an account or using Srota, you agree to these Terms. If you are using Srota on behalf of a business, you confirm that you have authority to bind that business to these Terms.

1. The service

Srota is a cloud-based business management platform providing Srota RMS (Restaurant Management System) and Srota IMS (Inventory Management System). Both applications are designed for businesses operating in Nepal and include features for billing, inventory tracking, staff management, and compliance with Nepal's IRD Electronic Billing requirements.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will give reasonable notice for material changes that affect active paid subscriptions.

2. Account registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you suspect unauthorized access, notify us immediately at srotaapps@gmail.com.

Accounts may only be used by the business entity they were registered for. Sharing credentials across unrelated businesses is not permitted.

3. Trial period

New accounts receive a 30-day free trial for each application (Srota RMS and Srota IMS) from the date of first use. No payment method is required to start a trial. After the trial period ends, continued access to paid features requires an active subscription.

We may extend a trial at our discretion, for example during onboarding or for support purposes. Trial extensions do not automatically create a subscription.

4. Subscriptions and payment

Subscription plans and pricing are listed at srotaapps.com/pricing. Subscriptions are billed monthly or annually (at a discounted rate) and are activated by Forgenest upon receipt of payment.

Accepted payment methods are listed in the application at the time of subscription. Payments are processed in Nepali Rupees (NPR). Srota does not currently support automatic recurring billing — renewals are initiated by the account holder.

Subscriptions are non-refundable once activated, except where required by applicable Nepal law. If you believe a charge was made in error, contact us within 14 days of the charge.

5. Acceptable use

You agree not to:

• Use Srota for any unlawful purpose or in violation of any regulation, including Nepal's tax and business laws.
• Attempt to gain unauthorized access to any part of the platform, other users' accounts, or our infrastructure.
• Submit false or fabricated business information, tax registration numbers, or invoice data.
• Use the platform to generate fraudulent VAT invoices or misrepresent transactions to Nepal's IRD.
• Reverse engineer, decompile, or attempt to extract source code from the platform.
• Resell or sublicense access to the platform without our written consent.

Violation of these rules may result in immediate account suspension without refund.

6. Your data

The business data you enter into Srota (invoices, inventory records, customer accounts, etc.) belongs to you. We process it to provide the service, as described in our Privacy Policy. We do not claim ownership over your business data.

Upon account termination, you may request an export of your data. We will provide an export in a standard format within a reasonable time. After the export window, we may delete your data, subject to any legal retention requirements.

7. Intellectual property

The Srota platform, its design, code, logos, and content are owned by Forgenest Services Pvt. Ltd. and protected under applicable intellectual property laws. These Terms do not grant you any ownership rights in the platform — only a limited, non-exclusive license to use it as described here.

8. Disclaimers

Srota is provided "as is." We make reasonable efforts to keep the platform available and accurate, but we do not guarantee uninterrupted access or that the platform will be error-free.

Srota is a tool to help you manage your business operations. It is your responsibility to ensure that your use of the platform complies with Nepal's tax laws, IRD requirements, and all other applicable regulations. We are not a tax advisor. Consult a qualified accountant or IRD-registered tax practitioner for compliance advice specific to your situation.

9. Limitation of liability

To the extent permitted by applicable law, Forgenest's total liability to you for any claims arising from your use of Srota is limited to the amount you paid us in the three months preceding the claim. We are not liable for indirect, consequential, or incidental damages including lost profits, data loss, or business interruption.

10. Governing law

These Terms are governed by the laws of Nepal. Any disputes arising from these Terms or your use of Srota shall be subject to the jurisdiction of the courts of Kathmandu, Nepal.

11. Changes to these Terms

We may update these Terms from time to time. We will notify registered account holders of material changes by email at least 14 days before they take effect. Continued use of Srota after the effective date of updated Terms constitutes acceptance of those Terms.
